All Contracts are due in full regardless of any Termination Notice or actual Termination, unless a Termination Clause is included in your Contract.
Digital Marketing Terms
For Digital Marketing Services, our Terms are specified in your Digital Marketing Service Agreement, that shall be signed before service commencement.
ACP Specific Terms
If you are a foreign entity with no presence in Japan, you may require our ACP service to facilitate customs procedures for your products to reach a warehouse in Japan. Our ACP service includes your explicit acceptance of the Terms below.
The legal scope and duties of ACP are stipulated in the Customs Act (関税法基本通達), Chapter 9 (第9章 雑則) Miscellaneous Provisions, Article 95-1 (税関事務管理人の事務の範囲), here.
For Next Level to register as Attorney for Customer Procedures (ACP) on your behalf, you shall ensure that all information that Next Level states is necessary, is supplied in a timely manner to Next Level, including the required paper original documents. Failure to provide these would result in impossibility to register, and no reimbursement of the Registration fee will be due.
Before starting the Registration process, Next Level will check that your product categories are eligible, and may ask for additional documents, such as, if you are not the product manufacturer, Authorized Reseller contract or similar. Next Level may decline to proceed for any reason at that stage. Next Level will confirm by email if indeed your products appear eligible before proceeding.
The Term starts on the day of receipt of your Registration payment, for a duration of one year, auto-renewed at every anniversary date unless terminated. Termination Notice is 30 days, provided full payment of any remaining tax obligation. The monthly subscription and billing starts on the day of sealing of the approved form by the Japanese Customs. The agreement may be terminated by Next Level at any time if the Japanese Customs rejects your application, or deems the documents you supplied to be insufficient or unacceptable, or in case you fail to pay any due Japanese tax amount to the Japanese Customs. Your monthly subscription includes standard formalities for the maximum monthly number of shipments agreed. It does not include returns processing, or troubleshooting due to missing documents, or shipments blocked at the Customs due to other reasons out of our control.
For the duration of the Term, Import Tax payment will be delegated to Next Level, which will in turn delegate to your logistics company, so the tax amount will be invoiced to you by your logistics partner. Any Consumption Tax amount that would go through Next Level to be paid shall be invoiced to you, with a handling fee of 5% of the tax amount, processing and currency fluctuation.
You understand the Japanese Consumption Tax requirements, and, specifically that, if either your (headquarter) capital or investments as of the first day exceeds ¥10,000,000, or once its yearly revenue exceeds ¥10,000,000 for the first time, you must register with the Japanese tax administration. You can handle this (tax registration / declaration) either with Next Level, at an additional fee separate from the ACP subscription, or through another Nouzei Kanrinin (納税管理人) of your choice. You then become subject to Japanese Consumption Tax. In case that, should any tax amount be paid through Next Level, the full amount (tax amount for the previous year and fee) shall be provisioned on Next Level’s account below no later than 30 days after the end of each fiscal year. Fee for tax declaration, if required, to de decided in a specific Statement of Work (SOW).
The Registration fee is due upfront. No work shall commence and no template will be shared until full payment receipt. The monthly fee is due at the beginning of each month. You understand that payment delays will result in interruption of service.
These ACP Terms may change without notice.
Sales Development Consultancy
For Sales Development Consultancy, if your contract includes dedicated Sales Development personnel, recruiting costs are borne by Next Level up to 2 (two) months of paid advertising, including scouting, and screening. Should Next Level be unable to source a suitable candidate within two months of paid advertisement at its own cost, then Client shall bear any additional recruiting costs.
Published Daily Consulting Rate: ¥150,000 exclusive of any tax. For Sales Development services to non-Japanese Clients, we require a 2-month deposit.
Recruitment / Staffing
We are an official recruitment agency (有料人材紹介事業) with license number 13-ユ-311639. Our placement Contingency fees are 35% of the anticipated gross annual remuneration package of the resource.
Payment Terms
For one-time orders, first order of a recurring service, and all orders under ¥100,000: 100% upfront. Other one-time orders: 50% upfront, 50% upon delivery.
For recurring services: payment due at the end of the month following the month of invoice (末締め翌月末払い) unless otherwise indicated in your Contract. All amounts invoiced are due in full as stated on our invoices, in other words all bank fees are borne by the Client.
Next Level’s invoices are issued at the beginning of each month, for the upcoming month, and to be paid, i.e. funds received, by the last day of that month, Japan time. Payment delays will not be accepted and will result in interruption of service.
We offer a 10% discount on our fees to NPOs, B Corporations, and other selected climate change mitigation solution providing Clients. Please enquire if you feel that you might be eligible.
